pliers of whole bean coffee and retail coffee under the private label owned by ORLEN S.A. ORLEN S.A. sells coffee at more than 3,400 fuel stations across seven markets of the ORLEN Capital Group. The main objectives of the ongoing Procedure are as follows: • selection of the product assortment in line with the needs of ORLEN Capital Group fuel station customers, • active category management through direct cooperation with suppliers of coffee sold at ORLEN Capital Group retail points, • increasing sales. To achieve the above defined objectives, the ORLEN Capital Group plans to conclude two framework agreements with Suppliers selected in this Procedure for defined volumes, types of coffee, and markets. We trust that this request will receive your utmost attention. The planned stages of Supplier selection will be as follows: 1. Stage I – Assessment of formal criteria 2. Stage II – Assessment of technical criteria, product testing, and analysis of submitted offers 3. Stage III – Commercial assessment, acceptance of contract templates and delivery terms, and analysis of commercial offers 4. Negotiation meetings with selected Suppliers who meet the formal and technical requirements, as well as the possibility of conducting an auction and final negotiations 5. Selection of two Suppliers Please review Attachment No. 1 – Assumptions of the procurement process, which describes the method and procedure of the Process and includes guidelines for Bidders. You are also requested to familiarize yourself with the formal criteria and Attachment No. 2, 3, 4, 5, and to submit the formal offer required for this Procedure. Please also review Attachment No. 13 – Information for the Bidder regarding the participation of a security expert who will supervise the correctness of the procurement process. ORLEN Capital Group reserves the right to freely select the Suppliers with whom negotiations will be conducted, with respect to part or all of the submitted responses. ORLEN Capital Group reserves the right to cancel or close the Procedure without selecting Suppliers and to withdraw from negotiations without providing reasons. No claims may be made against ORLEN Capital Group as the Inviting Party in this regard. INFORMATION: Estimated product quantities as well as logistical and technical data will be provided in Stage II of the Procedure after meeting the formal requirements, in particular after signing and submitting the NDA. IMPORTANT: ORLEN Capital Group emphasizes that this request constitutes an invitation to negotiate within the meaning of Article 72 of the Civil Code; therefore, the provisions concerning an offer within the meaning of Article 66 and others of the Civil Code do not apply.
